The High Court on Thursday allowed NRB Commercial Bank to hold its 4th Annual General Meeting on ten conditions, including inclusion of the names of three directors in the existing Board of the company and reprint its Annual Report 2016 incorporating names of the three directors.
The court also directed the bank to allow the three directors—Tamal SM Parvez, Rafikul Islam Mia Arzoo and Mohammad Adnan—to attend the AGM to be held on April 23.
The vacation company bench of Justice AFM Abdur Rahman issued the directives after hearing a petition filed by the three directors for restraining the NRB Commercial Bank from holding the AGM as they were dropped from the Board and the Annual Report.
The bench also directed the NRBC Bank to allow Bangladesh Bank’s general manager for foreign currency department Masud Biswash to attend the AGM so that he could oversee its activities and ensure peaceful AGM without any untoward happenings.
The court also directed parties in the case to ensure peaceful conduct of the AGM without any violence or shouting.
If any kind of violation takes place in the AGM it would be considered a contempt of court, the court said.
The NRBC Bank was represented by attorney general Mahbubey Alam while Sheikh Fazle Noor Taposh and Mohammad Mehedi Hasan Chowdhury appeared for the directors.
